Terms and Conditions for Arkanis - in progress

Welcome to Arkanis!
These Terms of Service ("Terms") govern your access to and use of the Arkanis website at https://arkanis.io ("Site") and the services provided (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. SUBSCRIPTION PLANS
a. Free Tier: 15‑minute demo.
b. Standard Tier: USD 50 per month for up to 6–8 hours of talk time.
c. Premium Tier: USD 250 per year for up to 140 hours of talk time.
All subscription prices are in USD and billed via the payment method you provide.
2. RECORDINGS & DATA RETENTION
Arkanis captures system audio and streams it in real time to the Google Live API (Gemini 2.0 Flash). We do not store any raw recordings or transcripts; Google retains them for up to 72 hours and then deletes them. You acknowledge and accept that all recordings are processed and retained by Google under their policies.
3. USER OBLIGATIONS & CONSENT
You are solely responsible for complying with all applicable laws regarding notification and consent. You must notify all participants that they are being recorded and obtain any required consents before using the Service. Use the Service ethically and do not record interviews or sensitive conversations without the other party’s knowledge and permission.
4. LICENSE & RESTRICTIONS
We grant you a non‑exclusive, non‑transferable, revocable license to use the Service solely for your personal or internal business purposes. You may not rent, sell, sublicense, distribute, or otherwise make the Service available to third parties.
5. PAYMENTS & REFUNDS
All fees are non‑refundable, except that you may request a full refund within seven (7) days of purchase. To request a refund, contact us at octavian@arkanis.io. After seven days, no refunds will be granted.
6. INTELLECTUAL PROPERTY
All content, trademarks, and other intellectual property on the Site and Service are owned by Arkanis or its licensors. Nothing in these Terms grants you any right in or to any trademark, logo, or other intellectual property.
7. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Arkanis DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
8. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL Arkanis’S AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNTS PAID BY YOU TO Arkanis IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY. IN NO EVENT WILL Arkanis BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Arkanis, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your failure to obtain necessary consents.
10. TERMINATION
Arkanis may suspend or terminate your account and access to the Service at any time, without notice, if you breach these Terms or use the Service unethically or unlawfully, including recording without consent.
11. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of Romania, without regard to conflict of law principles. Any dispute arising under or in connection with these Terms shall be resolved by binding arbitration in Bucharest, Romania, under the rules of the Romanian Chamber of Commerce. The arbitration shall be conducted in English. The arbitral award shall be final and binding.
12. CHANGES TO TERMS
We may modify these Terms at any time. We will post the revised Terms at https://arkanis.io/tos and notify you by email. Your continued use of the Service after such notice constitutes acceptance of the updated Terms.
